Agreement
These terms govern your engagement with ARKTEKT Technologies, LLC ("ARKTEKT," "we," "us"). By signing a proposal, paying a deposit, or starting work with us, you agree to what's below. A signed project proposal or statement of work, where it exists, controls over any conflicting language here.
Services
ARKTEKT designs and builds websites, digital ecosystems, AI systems, automation, and adjacent infrastructure for coaches, consultants, ministries, and faith-driven founders. The specific scope of each engagement is documented in a written proposal.
Payment terms
Unless your proposal states otherwise, project fees are billed in three installments:
- 50% deposit, due on signing. Work begins after the deposit clears.
- 25% at design approval, due when you approve the design direction.
- 25% at launch, due before the project goes live or final files are released.
Invoices are payable within 7 days. Past-due balances accrue interest at 1.5% per month or the maximum allowed by law, whichever is less.
Revisions
Each project includes two rounds of revisions at the design stage. Additional rounds, scope changes, or new features beyond the signed proposal are billed at our standard hourly rate, with an estimate provided in advance.
Client deliverables
Projects depend on timely client input. Copy, brand assets, photography, logins, and any content we've requested are due within five (5) business days of project kickoff.
If materials are late, the project timeline pauses and may be re-scheduled around our active queue. Extended delays (more than 30 days of client inactivity) may incur a re-engagement fee.
Intellectual property
Final work product transfers to you upon receipt of final payment. Until then, ARKTEKT retains ownership of all deliverables.
ARKTEKT retains the right to display the finished work in our portfolio and case studies. Third-party assets (fonts, stock imagery, plugins) remain licensed under their original terms.
We retain ownership of any internal tools, code libraries, or methodologies used to build your project.
Cancellation & kill fee
You may cancel a project at any time in writing. If you cancel mid-project, the following applies:
- The 50% deposit is non-refundable.
- A kill fee equal to 25% of the remaining balance is due within 14 days of cancellation.
- Work completed up to the cancellation date is invoiced at the agreed rates.
If ARKTEKT terminates the engagement for cause (non-payment, breach of these terms), the same fees apply.
Warranties
We deliver work with reasonable care and professional skill. Beyond that, services are provided "as is." We don't guarantee specific business outcomes (traffic, conversions, revenue), those depend on factors outside our control.
Limitation of liability
To the maximum extent permitted by law, ARKTEKT's total liability for any claim arising out of an engagement is limited to the fees you paid us for the specific project in question. We are not liable for indirect, incidental, consequential, or lost-profit damages.
Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform under the engagement.
Governing law
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Duval County, Florida.
